Platform Terms of Service

1. The Platform

The company FlintOne, a simplified joint-stock company registered with the RCS of Paris under number 104 953 906, with registered office at 58 rue de Monceau CS 48756 75380 Paris Cedex 08, France, operates the website www.beamthru.com (the “Platform”).

2. Definitions

Platform: refers to the online platform “beamthru”, operated by FlintOne in its capacity as an online platform operator (intermediary).

Visitor: any individual who accesses or browses the Platform without being logged into an account.

User: any individual who has created an account on the Platform. The ability to book, pay for, and participate in Sessions is strictly reserved for Users.

Path Sharer: a User who registers on the Platform to offer and conduct Sessions. The ability to list, offer, and receive payment for Sessions is exclusively reserved for the Path Sharer. The Path Sharer shares personal career experiences, insights, and methodologies in his or her own name and on his or her own responsibility. The Path Sharer is not an employee, agent, or partner of the Platform. The Path Sharer does not provide regulated advisory activities (including but not limited to legal, financial, or medical advice). The Path Sharer acts in the capacity of a provider to the Path Seeker.

Path Sharer Profile: refers to the dedicated section of a User’s account and the associated set of information (including but not limited to professional background, tax and identity details and availability) provided by the User to enable their activity as a Path Sharer on the Platform.

Path Seeker: a User who searches for, books, or participates in a Session/Sessions on the Platform to benefit from the professional experience, knowledge, and methodologies shared by a Path Sharer/Path Sharers for personal and professional development purposes. For the avoidance of doubt, a Path Sharer acts as a Path Seeker when using the Platform to search for, book, or participate in Sessions offered by other Path Sharers.

Session: a one-on-one video or audio meeting between a Path Seeker and a Path Sharer, conducted exclusively through the Platform.

Booking: the process and the resulting arrangement for a Session. The contract of sale is formed exclusively and directly between the Path Seeker and the Path Sharer upon a "Confirmed" Booking. A Booking is considered "Confirmed" only when: (i) the Path Seeker has successfully processed the Payment, and (ii) both parties have agreed upon a scheduled time.

Session Review: a subjective evaluation submitted by a Path Seeker following a completed Session, expressing their impressions of the Session and/or the Path Sharer. A Session Review consists of three components: a like-or-not indicator, a written comment section and style attributes reflecting the Path Seeker’s perception of the Path Sharer’s interaction style.

Session Completion Issue: a notice submitted by a Path Seeker to contest the successful completion of a Session.

Feedback: any comments, suggestions, ideas or other inputs provided by a User regarding the functionality, performance, or improvement of the Platform.

Report: a notice submitted by a User to inform the Platform of any illegal content infringing upon the rights and/or property of any natural or legal person, public decency, or the interests of FlintOne, as well as any misconduct or other violations of these Terms arising out of interactions with other Users or information displayed on the Platform.

Gross Session Price: the total amount set by the Path Sharer, inclusive of all applicable taxes (such as VAT) related to the Path Sharer’s Session.

Net Session Price: the portion of the Gross Session Price excluding any VAT or other sales taxes applicable to the Path Sharer’s Session. In the case of a Path Sharer not charging VAT, the Gross Session Price and the Net Session Price are the same.

Commission: the remuneration due to FlintOne, payable by the Path Sharer, calculated as a percentage of the Net Session Price as specified in the Commission Policy.

Payment: the act by which a Path Seeker remits the amount due for a Session through the Platform’s payment service provider (Stripe). The amount due is equal to the Gross Session Price, except where the reverse charge mechanism applies, in which case it is equal to the Net Session Price. The Platform enables the technical interface for such transactions. However, funds are processed by Stripe and credited directly to the Path Sharer’s Stripe Connect account. Such Payment constitutes full settlement of the Path Seeker’s financial obligation for that Session.

Payout: the transfer of funds (net of Commission and any applicable taxes related to the Commission) from the Path Sharer’s dedicated Stripe Connect account to their designated bank account via the Platform’s payment service provider (Stripe).

Refund: refers exclusively to the full or partial reimbursement of the amount actually paid by the Path Seeker for a Booking.

Dispute: claim or controversy arising out of or relating to the performance of these Terms between the User and FlintOne subject to the receivability criteria and procedures set forth in .

Third-Party Service Provider: any third-party entity (such as payment processors, hosting providers, or identity managers) engaged by FlintOne to support the Platform’s operation and infrastructure.

Service: the service provided by FlintOne through the Platform, consisting of connecting between Path Sharers and Path Seekers.

Terms: the contractual document comprising these Terms and their appendices, constituting the entire contractual relationship between Users and FlintOne.

VAT: value added tax

API: application programming interface

3. Purpose of the Services

The Platform acts as a digital marketplace enabling FlintOne to provide the Services, namely enabling a Path Seeker to connect with a Path Sharer for one-on-one video or audio Sessions. The sole purpose of these Sessions is to allow the Path Sharer to share his or her personal career experiences, insights and methodologies in his or her own name and on his or her own responsibility.

All sharing on the Platform is provided for informational and educational purposes only. The content shared by the Path Sharer does not constitute an endorsement by the Platform. The Platform is not intended for, and shall not be used for professional consulting services, recruitment services, or regulated advisory activities (including but not limited to legal, financial, or medical advice).

4. Acceptance of the Terms

By signing up on the Platform, the User acknowledges having read, understood, and accepted these Terms.

By submitting his or her Path Sharer profile during onboarding on the Platform, the User acknowledges having read, understood, and accepted the specific rights and obligations applicable to a Path Sharer as set forth in these Terms.

5. User Eligibility

In order to access the Services, the User must meet the following criteria:

Age: The User must be at least 18 years old and possess the legal authority to enter into a binding agreement.

Residency: The User must be a legal resident in France, Germany or Luxembourg. Any User acting as Path Sharer must be a fiscal resident in France, Germany or Luxembourg.

If FlintOne discovers that a User or a Path Sharer does not meet these criteria, it reserves the right to immediately close the User account or the Path Sharer Profile and cancel any pending Bookings, without the User or the Path Sharer being entitled to any right to compensation and without prejudice to the rights of FlintOne.

The Platform is exclusively intended for the sharing of individual, personal, and professional experiences.

Every User account must be held by a natural person acting in their own name or as a sole professional (sole proprietor or single-person company), also acting in their own name.

The use of the Platform by legal entities such as agencies, consultancies, schools, or companies representing multiple individuals under a single profile is strictly prohibited.

To verify the eligibility of the User, and in particular the Path Sharer, FlintOne reserves the right to request any documentation it deems strictly necessary, in accordance with the Privacy Policy.

FlintOne reserves the right to refuse account creation to any User or profile creation to any Path Sharer in the event of suspected fraud or false or misleading information.

6. User Account Management

6.1 User Account Creation

User account creation may be completed using an email address or a third-party login (e.g., Google). Once the account is created, the individual becomes a User and accepts these Terms.

6.2 User Account Closure

The User may request to close his or her account at any time via the Dashboard. FlintOne will review and confirm the closure within forty-eight (48) hours, subject to the completion of any ongoing obligations or procedures, including any Session, Booking, Payout or Dispute proceedings.

Closure of the account will result in the loss of access to all Platform features. This action is irreversible.

6.3 FlintOne Discretion

FlintOne reserves the right, at its sole discretion, to suspend or close a User account at any time in the event of violation of these Terms and applicable laws or regulations, or any conduct that may harm the integrity, security, or reputation of the Platform or its Users, in accordance with Section 18 Sanctions.

7. Path Sharer Profile Management (applicable to Path Sharers only)

7.1 Path Sharer Onboarding

To become a Path Sharer, an individual must first create a User Account on the Platform, see Section 6.2 User Account Creation. A User may only activate one Path Sharer Profile.

Preliminary Application: The User must provide information including personal details, professional background, and any other necessary information requested for profile setup, and define his or her Session menu (see Section 8 Session Themes, Duration and Pricing). FlintOne reviews the submitted application to ensure it aligns with the Platform’s purpose and the nature of career experience sharing. FlintOne reserves the right to reject any application that does not meet these criteria. The review process is generally completed within twenty-four (24) hours.

Financial Compliance and Formalities: Once the preliminary application is approved, the User is invited to:

Submit mandatory information required under DAC7 (see Section 25 DAC7 Reporting Obligations);

Submit information enabling FlintOne to issue invoices or receipts on his or her behalf;

Accept a billing mandate authorizing FlintOne to issue invoices or receipts on his or her behalf.

Activate Stripe Connect account

In order to receive Payouts for Sessions conducted on the Platform, the User (prospective Path Sharer) is required to create and maintain a Stripe Connect account. By creating a Stripe Connect account through the onboarding process, the User expressly agrees to be bound by Stripe’s Privacy Policy applicable to his or her region, as provided by Stripe on its official website (https://stripe.com). The User also acknowledges and expressly agrees to the Stripe Connected Account Agreement (https://stripe.com/fr/legal/connect-account).

The successful activation of a Stripe Connect account is a prerequisite for using the Platform as a Path Sharer. The User acknowledges that as long as his or her Stripe Connect account is not fully activated and compliant with Stripe’s requirements, he or she will be unable to receive Payouts and, consequently, will not be able to become a Path Sharer on the Platform.

The Path Sharer Profile will be activated only after User’s Stripe Connect account has been successfully activated.

7.2 Path Sharer Profile Activation

Upon activation, the Path Sharer will:

be listed in the Path Sharer directory and searchable;

have his or her public page visible to all Users and Visitors of the Platform;

be able to offer and host Sessions;

continue to use the Platform as a Path Seeker, including booking Sessions with other Path Sharers.

7.3 Path Sharer Specific Terms

Upon activation of his or her profile, the Path Sharer may define his or her own terms for his or her Sessions. In the event of any conflict with these Terms, the latter shall prevail. FlintOne disclaims any liability regarding the content or enforcement of such specific terms.

However, the conditions set by the Path Sharer shall not contravene applicable laws and regulations (whether French or those of the Path Seeker's country of residence within the European Union), nor shall they create a significant imbalance between the rights and obligations of the parties to the detriment of the Path Seeker, within the meaning of Article L. 212-1 of the French Consumer Code and, where applicable, Article 1171 of the French Civil Code, as well as any mandatory consumer protection provisions applicable in the Path Seeker's Member State of residence.

The following conditions are strictly prohibited:

those that exclude or limit the Path Sharer's liability in the event of a breach of their essential obligations;

those that deprive the Path Seeker of any recourse in the event of non-performance or defective performance of the Session;

those that impose disproportionate obligations on the Path Seeker;

those that are contrary to public policy rules, particularly regarding personal data protection, non-discrimination, or consumer law.

7.4 Path Sharer Public Page

As mentioned in Section 7.2 Path Sharer Profile Activation, a public page is created for the Path Sharer to display his or her information (notably self-introduction, career experience, Session menu, availability, etc.) and to facilitate Bookings. The Path Sharer acknowledges and agrees that these information will be made visible to all Users and all Visitors of the Platform, including search engines.

7.5 Path Sharer Profile Update

The Path Sharer may update his or her profile elements (e.g., career experiences, self-introduction) through the dashboard at any time. Identity and tax information cannot be modified directly and requires a request through the Help Center, accompanied by any supporting documents requested by FlintOne for verification purposes. The Path Sharer must ensure that the information held in his or her Stripe Connect account remains consistent with the identity and tax information provided to the Platform at all times.

FlintOne reserves the right to reject updates or impose sanctions in accordance with Section 18 Sanctions if the updated content violates these Terms.

7.6 Path Sharer Profile Closure

Closing the Path Sharer Profile will remove all profile information, while preserving the User account. The Path Sharer may request to close his or her profile at any time via the Dashboard. FlintOne will review and confirm the closure within forty-eight (48) hours, subject to the completion of any ongoing obligations or procedures, including any Session, Booking, Payout or Dispute proceedings.

Closure of the Path Sharer profile will result in the loss of access to all Platform Services and features designed specifically for Path Sharers. These actions are irreversible.

7.7 FlintOne Discretion

FlintOne reserves the right to refuse the creation of a Path Sharer Profile in the event of suspected fraud or false or misleading information.

FlintOne reserves the right, at its sole discretion, to deactivate or close a Path Sharer Profile at any time in the event of violation of these Terms and applicable laws or regulations, or any conduct that may harm the integrity, security, or reputation of the Platform or its Users, in accordance with Section 18 Sanctions.

8. Session Themes, Duration and Pricing (applicable to Path Sharers only)

During onboarding, the prospective Path Sharer must select one or more themes from a predefined list provided by the Platform. While themes are predefined by the Platform, the Path Sharer is encouraged to detail what he or she can offer as unique value to each selected theme through his or her past career experiences in the self-introduction. The Path Sharer must also choose one or more Session durations from the available options and set a Gross Session Price for each duration selected.

The following minimum and maximum Gross Session Prices apply, only whole amounts (integers) are accepted:

Each combination of duration and price applies across all themes selected by the Path Sharer, unless otherwise specified by the Platform. These selections determine the formats in which the Path Sharer will be available to offer Sessions.

Once activated, the Path Sharer may update the themes, durations, and Gross Session Prices. These changes apply only to future Bookings. The Path Sharer is fully responsible for any impact such changes may have on his or her booking performance, whether positive or negative.

FlintOne reserves the right to update predefined themes, durations and Gross Session Price setup rules at its discretion, based on User Feedback or operational needs.

9. Commission (applicable to Path Sharers only)

FlintOne charges a Commission exclusively to the Path Sharer as remuneration facilitating the connection provided. As established in Section 2 Definitions, this Commission is calculated as a percentage of the Net Session Price.

FlintOne shall add applicable VAT to the Commission amount. Both the Commission and the corresponding VAT (if applicable) shall be deducted from the total amount paid by the Path Seeker prior to the Payout.

The specific Commission rates are set out in the Commission Policy, which is presented to the Path Sharer during the onboarding process and remains accessible through the Help Center thereafter.

FlintOne reserves the right to modify the Commission Policy in the future. Any changes will be communicated to all Path Sharers via email or Platform notification thirty (30) days before becoming effective. Any use of the Platform by a User following the entry into force of the new Commission Policy shall constitute acceptance of the new Commission Policy.

10. Booking and Session Flow

10.1 Search and Browse

The Platform provides search and filtering tools to help the Path Seeker identify Path Sharers based on specific themes, interests, or needs. Any User or Visitor visiting the Platform may browse Path Sharers’ public pages and select a Path Sharer who fits his or her expectations.

The default order in which Path Sharers are displayed is determined by the selected theme and relevance to the search query based on a comparison between the query content and each Path Sharer Profile using semantic search. The ranking also integrates specific filters when selected within the specific theme. FlintOne reserves the right to update these parameters to improve user experience.

While the Platform strives to provide helpful recommendations, FlintOne does not guarantee the accuracy, suitability, or quality of the search results for the Path Seeker’s needs. The ranking is for informational purposes only and does not constitute an endorsement, validation, or guarantee by FlintOne of any Path Sharer’s expertise or character.

FlintOne shall under no circumstances be held liable for any error or inconsistency in the listing of Path Sharers.

10.2 Booking Request and Payment

Once a suitable Path Sharer is identified, the Path Seeker may initiate a Booking by selecting an available time slot. To ensure the Path Sharer has adequate time to review and respond to the Booking, slots are only open for booking from a minimum lead time defined by FlintOne, as indicated on the Platform.

To ensure fair access and prevent any abuse or abnormal use of the system, FlintOne reserves the right to limit the number of Booking requests a Path Seeker may initiate within a given period. These frequency and volume limits are determined by FlintOne and may be adjusted at its sole discretion. If these thresholds are exceeded, the Path Seeker will be temporarily restricted from requesting new Bookings until the required period has elapsed.

The Path Seeker will be prompted to provide details regarding his or her specific challenges and expectations. This information is intended solely to assist the Path Sharer in preparing for the Session. The Platform does not guarantee that the Path Sharer will address all provided expectations. Under no circumstances shall FlintOne be held liable in the event of dissatisfaction on the part of a Path Seeker.

The Path Seeker agrees to provide accurate and complete billing information. Depending on the tax statuses and countries of residence of both the Path Seeker and the Path Sharer, the payment amount may be the Gross Session Price (including VAT, where applicable) or the Net Session Price (excluding VAT, in the case of a reverse charge mechanism). Tax or VAT numbers (where applicable) provided by the Path Seeker are subject to automated verification. FlintOne reserves the right to block any transaction, or to apply the Gross Session Price by default, if the provided VAT information cannot be verified or proves to be invalid at the time of the transaction.

By clicking “Book & Pay”, the Path Seeker initiates a Booking request and enters into a process to form a direct agreement with the Path Sharer. This agreement becomes binding and the Booking is considered “Confirmed” only upon the Path Seeker’s successful Payment and both parties’ (Path Seeker and Path Sharer) agreement to a scheduled time.

By clicking “Book & Pay”, the Path Seeker is redirected to a secure checkout page to pay for the Session, processed via the Platform’s payment service provider (Stripe).

Payments can be made using methods supported by Stripe at checkout.

If the Payment is successful:

Funds corresponding to the Payment are credited to the Path Sharer’s Stripe Connect account, the effective Payout to the Path Sharer’s bank account remains subject to the conditions and timeframes set forth in Section 14 Payout.

FlintOne Commission and the associated applicable VAT will be automatically deducted from the Path Sharer’s account, in accordance with Section 9 Commission.

FlintOne automatically generates a payment receipt simply as a transaction proof (see Section 13 Billing Documents), the official invoice or receipt in the name and on behalf of the Path Sharer will be issued by FlintOne once a Session has attained “Completed” status or upon the resolution of any Session Completion Issue.

If the initial Payment attempt fails, the selected time slot will remain temporarily reserved for a limited period defined by FlintOne, as indicated on the Platform. The Path Seeker may retry the Payment within this period. If the Payment is not completed within this period, the Booking will be automatically cancelled, and the time slot will be released and made available to other Users.

10.3 Booking Management Prior to Session (including Cancellation Policy)

Once a Booking is paid, the Path Sharer has twenty-four (24) hours to respond by selecting one of the following options:

Accept: The Booking is confirmed and marked as “Accepted”. Both parties are expected to attend the Session at the scheduled time.

Decline: The Booking is declined and marked as “Canceled”. The applicable Refund will be processed as per Table 1.

Reschedule: The Path Sharer proposes a new time slot from available options. Upon this proposal, the Booking status is updated to “Rescheduling”, and the Path Seeker has twenty-four (24) hours to respond with one of the following:

Accept: The Booking is confirmed and marked as “Accepted”.

Decline: The Booking is declined and marked as “Canceled”. The applicable Refund will be processed as per Table 1.

Reschedule again: The Path Seeker may suggest a new time slot from the available options. The Booking status is marked as ““Rescheduling””. The Path Sharer then has twenty-four (24) hours to respond.

Upon request (as stated above) or without solicitation, either party may reschedule or cancel a Booking.

Each party is restricted to a maximum of two reschedule attempts per Booking. Upon exhausting these attempts, the party is precluded from initiating further changes and must either accept the proposed time, proceed with the scheduled time, or cancel the Booking. This policy helps ensure mutual commitment and scheduling efficiency.

No Session can be rescheduled less than twenty-four (24) hours before its scheduled start. Cancellations made within this 24-hour timeframe are subject to the following conditions:

If a Session is cancelled at the Path Seeker’s initiative, no Refund shall be granted.

If a Session is cancelled at the Path Sharer’s initiative, the Path Seeker shall be fully refunded. Furthermore, the Path Sharer may be subject to to a Commission adjustment or reasonable financial penalties, in accordance with the current scales published on the Platform. These measures are intended to compensate for administrative costs and the prejudice suffered by FlintOne and the Path Seeker.

FlintOne may, at its sole and absolute discretion, consider exceptions to the above rules in the event of documented force majeure or a proven and documented emergency.

All actions related to Bookings (such as accept, decline, cancel, and reschedule) must be completed through the Platform dashboard.

If either the Path Sharer or the Path Seeker fails to respond to a request related to a Booking within twenty-four (24) hours, the Booking will be automatically canceled and refunded as per Table 1.

To prevent any system abuse, the number of active Bookings (including statuses such as 'Created', 'Accepted', or '“Rescheduling”') that a Path Seeker may hold simultaneously is limited by a threshold defined by FlintOne, as indicated on the Platform. Once this limit is reached, the Path Seeker may not initiate new Bookings until an existing Booking leaves the scope of 'Active Bookings' (notably through the cancellation of the Booking or the completion of the associated Session).

In the event of suspected abuse, notably characterized by an excessive number of cancellations within a given timeframe, FlintOne reserves the right to suspend the User account of the Path Seeker or the Path Sharer. Any potential account reinstatement remains at the sole discretion of FlintOne.

10.4 Session Conduct

Access to the Session becomes available via the dashboard starting from a timeframe defined by FlintOne prior to the scheduled start time, as indicated on the Platform.

All Sessions are conducted exclusively through the Platform, using an integrated third-party video conferencing service.

10.5 Post Session

After the scheduled end time of a confirmed Booking, each Session will be assigned one of the following statuses by the Platform: “Completed”, “Incomplete”, or “Missed”. The Session status does not directly determine whether a Refund applies or the amount thereof, it is used for statistical purposes and to track fulfillment history.

Within twelve (12) hours after the Session, the Path Seeker may submit a Session Completion Issue to report a missed or incomplete Session via the Dashboard. Only the Path Seeker can submit a Session Completion Issue.

Based on whether such a Session Completion Issue is submitted and, if so, on its content, the Platform will proceed as follows:

a. No Session Completion Issue submitted within twelve (12) hours following the Session

The Session shall automatically be deemed “Completed” and no Refund will be issued.

b. Path Seeker claims “Session incomplete” within twelve (12) hours following the Session

Upon receiving the claim, FlintOne will review the Session connection logs and process the Session Completion Issue and applicable Refund in accordance with Table 2.

For the second and third scenario in Table 2, FlintOne checks the total in-call time as a primary criterion for determining the Session completion. In-call time means the duration during which both the Path Seeker and the Path Sharer are simultaneously connected to the same Session via the Platform’s integrated third-party video conferencing service. If the total in-call time is seventy-five percent (75%) or more of the scheduled duration, the Session shall be deemed “Completed”. If the total in-call time is less than seventy-five percent (75%) of the scheduled duration, the Session shall be deemed “Incomplete” or “Missed” based on the specific circumstances of the Session and at the sole discretion of FlintOne. FlintOne reserves the sole right to determine the appropriate resolution, which may include the denial of any Refund, a full or partial Refund, or non-monetary compensation such as Platform credits or digital vouchers. FlintOne also reserves the right to determine whether any Commission shall be retained or refunded in connection with such resolution.

c. Path Seeker claims “Session missed” within twelve (12) hours following the Session

Upon receiving the claim, FlintOne will review the Session connection logs. If the total in-call time is equal to zero, FlintOne will process the Session Completion Issue and applicable Refund in accordance with Table 3. If the total in-call time is not equal to zero, FlintOne will process the Session Completion Issue and applicable Refund in accordance with Table 2.

If both the Path Seeker and the Path Sharer are found to be equally responsible for the missed Session as per Table 3, the Booking Payment will be retained by FlintOne as a non-refundable penalty for failure to comply with these Terms. In this case:

The Path Seeker is not entitled to a Refund (except for any applicable VAT paid which will be refunded separately);

The Path Sharer is not entitled to any earning.

If the Session missed is attributable to the Path Sharer as determined in accordance with Table 3, the Path Sharer may be subject to a Commission adjustment or reasonable financial penalties, in accordance with the current scales published on the Platform.

Only Sessions marked as “Completed” will prompt an invitation for the Path Seeker to submit a Session Review through his or her dashboard, see Section 11 Submitting, Modifying and Deleting a Session Review.

A Session Completion Issue is strictly limited to objective failures as previously defined in this section. Dissatisfaction regarding the content, relevance, or subjective quality of a Session does not constitute grounds for a claim or a Refund. For such matters, the Path Seeker shall exclusively rely on the Session Review to express the dissatisfaction.

In cases where FlintOne’s intervention is required as described in Table 2, if either the Path Seeker or the Path Sharer disagrees with the resulting outcome, they may initiate a Dispute within seven (7) days of receiving FlintOne’s answer (see Section 21 Dispute Resolution) via the Help Center. For outcomes determined in accordance with the rules set forth in Table 2 or Table 3, or if no Dispute is initiated within the aforementioned period, the outcome shall be considered final, binding, and the case closed.

11. Submitting, Modifying and Deleting a Session Review

11.1 Submitting a Session Review

The submission of a Session Review is conditional upon the Session reaching a “Completed” status. Once a Session is marked as “Completed”, the Path Seeker will be invited to submit a Session Review consisting of three components:

Like-or-not indicator: a binary indicator reflecting overall satisfaction with the Session.

Text-based review: a written comment about the Session and/or the Path Sharer.

Style attributes: one or more descriptive tags selected from a predefined list that describe the Path Sharer’s interaction style.

Reviews must be honest, relevant to the Session, and comply with applicable laws.

11.2 Modifying a Session Review

Once submitted, a Session Review cannot be edited directly by the Path Seeker. However, the Path Seeker may request FlintOne to make limited corrections via the Help Center in the following cases:

The like-or-not indicator was mistakenly selected opposite to the intent clearly expressed in the text-based review, in such case only the indicator may be corrected.

The text-based review contains an obvious factual/clerical error (e.g., wrong copy/paste, incorrect name/time) and the correction does not alter the overall meaning or sentiment of the review.

Under no circumstances will FlintOne convert a positive review into a negative one or vice versa.

Under no circumstances will FlintOne modify the selected style attributes.

11.3 Deleting a Session Review

Once submitted, a Session Review cannot be withdrawn by the Path Seeker.

The Path Sharer may request the deletion of a Session Review in whole via the Help Center only when:

The Session Review contains unlawful or prohibited content or is otherwise contrary to applicable law/public order;

The Session Review is demonstrably false or misleading (whether positive or negative) and appears intended to manipulate Users’ perception of the Path Sharer.

FlintOne may, at its discretion, remove any Session Review in whole that breaches these Terms or applicable law. FlintOne does not otherwise edit Session Reviews and is not responsible for the opinions expressed by Path Seekers.

12. Refunds

12.1 Refund Request Procedures

To request a Refund, the Path Seeker shall exclusively follow the procedures set forth in these Terms:

Before a Session: cancel the Booking (see Section 10.3 Booking Management Prior to Session);

After a Session: submit a Session Completion Issue and await FlintOne’s decision (see Section 10.5 Post Session).

12.2 Method and Timing of Refunds

Refunds are always processed through the same payment method used for the original Booking.

Depending on the payment method, the Refunded amount may appear immediately or may take several business days to be visible in the Path Seeker’s bank account. FlintOne shall not be held responsible for any processing delays attributable to the Path Seeker's bank, relevant financial institutions, or Stripe.

Any Refund occurring after a Payout has been executed is exceptional and subject to the procedures set forth in 12.5 Refund after Payout.

12.3 Technical Disruptions and Force Majeure

If an accepted Booking cannot start due to force majeure or a technical issue solely attributable to the Platform, FlintOne will first prompt both parties to reschedule the Booking at no additional cost. If rescheduling is not feasible, the Booking will be cancelled and a full Refund will be issued to the Path Seeker. The Platform may, at its sole discretion, offer non-monetary compensation to the Path Sharer.

If an ongoing Session is disrupted and cannot be completed due to the same reasons, FlintOne will first encourage rescheduling. If rescheduling is not feasible, a full or partial Refund will be issued to the Path Seeker. FlintOne may, at its sole discretion, offer non-monetary compensation to the Path Sharer.

Disruptions caused by the Path Seeker’s or Path Sharer’s own hardware, software, or internet connection are excluded from this Clause and shall be handled according to Section 10.3 Booking Management Prior to Session and Section 10.5 Post Session.

12.4 Miscellaneous Cases

In addition to the Refund cases detailed in Section 10.3 Booking Management Prior to Session, Section 10.5 Post Session and Section 12.3 Technical Disruptions and Force Majeure, Refunds may also be granted in certain situations at the sole discretion of FlintOne, depending on the context.

12.5 Refund after Payout

If a Refund is granted to a Path Seeker for reasons attributable to the Path Sharer after the Payout of the specific Session has already been released to the Path Sharer, FlintOne may recover the funds in the following order of priority:

Debit of Stripe Connect Account: FlintOne may debit the Refund amount from the Path Sharer’s Stripe Connect balance. If the balance is insufficient, the account will reflect a negative balance, which will be automatically offset against any future earnings on the Platform.

Direct reimbursement: FlintOne may issue the Refund to the Path Seeker using its own funds. In such cases, the Path Sharer is obligated to reimburse FlintOne directly for the full amount advanced, immediately upon request.

For the avoidance of doubt, the Refund amount to be recovered from the Path Sharer may be equal to the total amount paid by the Path Seeker.

12.6 Chargebacks

If the Path Seeker initiates a chargeback or any external payment recourse, FlintOne will immediately suspend all related internal reviews, Refund processes, or mediation. Any related funds will be handled according to the external provider’s rules and will remain frozen until a final decision is issued by said provider.

Initiating a chargeback or any external payment recourse without first completing the procedures described in 12.1 Refund Request Procedures or while a Report or Dispute is under investigation by FlintOne is a material breach of these Terms. Such breach entitles FlintOne to immediately suspend the Path Seeker’s User account. While FlintOne will comply with the external provider's final financial decision regarding the funds, it reserves the right to recover any associated fees or legal costs from the Path Seeker.

12.7 Additional Notes

To ensure transaction security and prevent fraud, as mentioned in 12.2 Method and Timing of Refunds, all Refunds will be processed exclusively through the original payment method used for the Booking. Under no circumstances will FlintOne issues Refunds via manual bank transfers, cash, or to any third-party accounts provided by a User outside of the Platform’s payment service provider (Stripe).

In accordance with Article L221-28 of the French Consumer Code, the statutory right of withdrawal does not apply to service contracts that have been fully performed before the end of the withdrawal period, where the service has begun with the consumer’s prior express consent and acknowledgment of the loss of their withdrawal right.

By initiating a Booking, the Path Seeker expressly consents to the Session starting before the expiration of the statutory withdrawal period and acknowledges that they waive their right of withdrawal.

The above provision only limits the statutory right of withdrawal under consumer law and does not affect the Path Seeker’s right to cancel a Booking in accordance with 10.3 Booking Management Prior to Session.

13. Billing Documents

13.1 Platform’s Payment Receipt to Path Seekers

Upon a successful Booking and Payment, FlintOne issues a payment receipt to the Path Seeker to serve as proof of transaction. This document confirms the transfer of funds and does not constitute an invoice.

13.2 Path Sharer’s Invoice or Receipt to Path Seekers

Once a Session has attained “Completed” status or upon the resolution of a Session Completion Issue, FlintOne issues, in the name and on behalf of the Path Sharer, an invoice or a receipt:

Private individual Path Sharer (Non-business status): The document generated by FlintOne is a receipt. VAT is not applicable.

Business Path Sharer (Self-employed or single-person company): The document generated is an invoice, calculated based on the VAT status and country of residence of both the Path Sharer and the Path Seeker.

The Path Sharer expressly grants FlintOne a mandate to issue receipts or invoices in his or her name and on his or her behalf. Acceptance of this mandate is a mandatory condition for Path Sharer onboarding (see Section 7.1 Path Sharer Onboarding).

13.3 FlintOne’s Invoice to Path Sharers (applicable to Path Sharers only)

Simultaneously with the issuance of the Path Sharer’s invoice or receipt, FlintOne shall issue its own invoice to the Path Sharer for the Commission and any applicable VAT deducted from each Session.

13.4 Platform Retention Notice

In the event that a Session is tagged as "Missed" due to both parties, FlintOne shall issue a Platform Retention Notice directly to the Path Seeker, documenting the full Net Session Price retained by the Platform as a penalty as mentioned in Section 10.5 Post Sessions.

13.5 Contestation Period

All documents issued under this Chapter are subject to a fourteen (14) day contestation period from the date of issuance.

However, a distinction shall be made regarding the nature of the objection:

FlintOne’s errors: Any errors attributable to the Platform shall be corrected free of charge within the contestation period.

User's errors: In the event of errors attributable to the User, FlintOne reserves the right to refuse the re-issuance of the invoice or receipt or to charge a reasonable administrative fee for the rectification process.

In the absence of an objection within the contestation period, the documents are deemed definitively accepted and no further modifications or re-issuances will be processed.

13.6 Credit Notes and Refund Receipts

In the event of a full or partial Refund occurring after an invoice or receipt has been issued:

FlintOne will issue a credit note (if an invoice was issued) or a refund receipt (if a receipt was issued) on behalf of the Path Sharer to the Path Seeker for the refunded amount.

FlintOne will issue its own credit note to the Path Sharer for the refunded FlintOne’s Commission and any associated taxes, where applicable.

In the event of a full or partial Refund before an invoice or receipt has been issued:

FlintOne will issue a refund receipt to the Path Seeker for the refunded amount.

13.7 Transparency and Access

All documents mentioned in this section will be sent to the User by email upon issuance. Each User is responsible for retaining these documents for record-keeping and tax purposes.

14. Payout (applicable to Path Sharers only)

14.1 Determination of the Available Payout Amount

Payouts to the Path Sharer are processed via Stripe to the bank details registered on his or her Stripe Connect account.

The amount that the Path Sharer may request for Payout is displayed on the dashboard. This amount is automatically calculated based on the following principles:

The total balance of funds collected and remaining available on the Path Sharer’s Stripe Connect account;

Less the following amounts:

All funds corresponding to upcoming Sessions that have not yet taken place;

All funds corresponding to Sessions that took place within the last fourteen (14) days, in order to ensure the management of potential claims, Session Completion Issues, or chargeback periods;

All funds corresponding to Bookings cancelled by the Path Seeker within twenty-four (24) hours prior to the scheduled start, until fourteen (14) days after the originally scheduled start date;

All funds corresponding to Sessions for which Session Completion Issues have been reported but not yet resolved.

The Path Sharer may initiate a Payout for all or part of the available amount. Depending on the bank and currency, funds may appear in the Path Sharer’s bank account immediately or within several business days, as determined by Stripe and the receiving bank's processing times.

14.2 Suspended Payout

The total amount of funds available for Payout may be suspended exclusively upon the occurrence of the following objective events:

A malfunction of the payout processing system or data synchronization;

The initiation of a Reporting or Dispute resolution procedure involving the Path Sharer;

Compliance with a formal order or mandatory request from a judicial, administrative, or regulatory authority related to the Path Sharer’s User account;

A notification from Stripe or a financial authority regarding potential fraud, money laundering, or suspicious activity related to the Path Sharer’s User account;

Irregular or potentially fraudulent activity detected by the Platform’s security systems (including but not limited to abnormal booking patterns);

A documented violation of these Terms by the Path Sharer.

In such cases, the funds shall remain suspended for the entire duration of the processing of the relevant event and shall become available for Payout again without undue delay once the matter is resolved.

15. User Dashboard

All Users have access to a personal dashboard within the Platform.

The dashboard mainly enables Users to:

View general metrics and access upcoming confirmed Bookings;

View and manage Bookings;

View past Sessions status, provide and/or view Session Reviews;

View payment history;

View bookmarked Path Sharers;

Request to close User account.

Path Sharers additionally have the ability to:

Edit their Path Sharer Profile;

Access Stripe Connect account;

View earnings history;

Request to hibernate or close Path Sharer profile.

16. User Obligations

User account login and password are strictly personal. The User must maintain the account confidentiality and is fully responsible for all activities conducted under his or her account.

Any use of the Platform with a User’s credentials will be presumed to have been made by that User. The User must promptly notify FlintOne of any unauthorized access or suspected security breach via the Help Center.

The User is solely responsible for selecting the correct legal status (e.g. personal, single-person company) and ensuring the accuracy and completeness of all billing and tax information provided prior to or at the time of Booking.

When the User account is registered as a single-person company, the User must be the legal representative of the company.

The individual registered on the User account must personally attend all Sessions, regardless of the legal structure under which the account is registered.

The User must comply with the following rules of conduct:

Attend all Sessions in a timely (see Section 10.5 Post Session for the definition of a valid connection), respectful, honest and professional manner;

Provide Session Reviews in a respectful, honest and professional manner;

Respect the privacy and confidentiality of all Users.

The User is strictly prohibited from engaging in any of the following behaviors:

Providing any false, misleading (including misrepresenting or exaggerating his or her professional background and achievements), or materially inaccurate information at any time, including during registration (as a User or as a Path Sharer), account maintenance, or any interaction with other Users or with the Platform;

Creating or maintaining more than one User account;

Delegating Sessions to any other person;

Using bots, scripts, or automated programs to create User account, make Bookings, scrape data, manipulate activities or create content on the Platform;

Sharing or transferring the User account to another person;

Engaging in harassment, discrimination, or offensive conduct of any kind, including on the basis of gender, ethnicity, religion, sexual orientation or disability;

Recording, reproducing, or distributing any part of a Session. Any exception to this rule requires the prior, explicit and verifiable consent of all participants;

Conducting or attempting to conduct Sessions, payments or related communications outside of the Platform (including by sharing personal contact details such as phone numbers, email addresses or messaging IDs);

Disclosing any confidential, sensitive or proprietary information, including but not limited to trade secrets or non-public information belonging to current or former employers, private or sensitive data concerning any third-parties including but not limited to clients and partners;

Seeking advice on regulated advisory activities (including but not limited to legal, financial, or medical advice);

Promoting or advertising any external products, services or companies unrelated to the purpose of the Session or the Platform;

Uploading, transmitting or displaying any content that is defamatory, abusive, pornographic, obscene or otherwise contrary to law or public decency;

Attempting to gain unauthorized access to, or to interfere with, hack, or damage the integrity, performance, or security of the Platform, its internal systems, or any User account;

Engaging in, encouraging or facilitating any fraudulent, deceptive, unlawful, or unauthorized activity;

Attempting to divert Users away from the Platform to personal websites, social media channels or competing services for commercial gain;

Assisting in any form of academic or professional dishonesty, including but not limited to completing recruitment assessments, technical tests or academic assignments on behalf of another User;

Reselling, sub-licensing or commercially exploiting the content of the Sessions;

Making false claims, threats or coercive statements toward another User (e.g., threatening negative reviews or demanding off-platform favors).

17. Path Sharer Obligations (applicable to Path Sharers only)

Apart from the User Obligations mentioned in Section 16 User Obligations, the Path Sharer agrees to:

Ensure that all information provided to the Platform in the Path Sharer Profile, including identification data, legal status and tax-related information remains accurate, complete and up to date;

Comply with DAC7 Reporting Obligations (see Section 25 DAC7 Reporting Obligations);

Avoid using bots, scripts or automated programs to register or update his or her Path Sharer Profile;

Provide personal informational and educational experience sharing only, not professional consulting services, or deliverables, or regulated advisory activities (including but not limited to legal, financial, or medical advice);

Conduct all Sessions in a timely (see Section 10.5 Post Session for the definition of a valid connection), respectful, honest and professional manner;

Cooperate with FlintOne in providing any information or documents reasonably requested in connection with inquiries or requests from governmental, tax or administrative authorities regarding his or her account, identification or tax-related information.

The Path Sharer is solely responsible for ensuring that his or her participation on the Platform and the content shared during Sessions complies with all applicable local laws, professional codes of conduct, licensing requirements, as well as any contractual obligations and internal policies of his or her current or former employers.

The Path Sharer is solely responsible for declaring and paying any taxes and social security contributions arising from income earned on the Platform. If the Path Sharer carries out repeated paid activities or earns regular income through the Platform, he or she may be legally required to register as a professional (e.g., sole proprietor, or single-person company) with the relevant authorities. It remains the Path Sharer’s sole and exclusive responsibility to assess and determine his or her appropriate legal and tax status. The Path Sharer must promptly notify FlintOne of any change to his or her identity and tax information (including legal status, see Section 7.5 Path Sharer Profile Update).

The Path Sharer acknowledges that FlintOne may be required by law to provide the tax authorities with an annual summary of the income generated through the Platform (e.g., under the DAC7 Directive see 25.5 Annual Reporting to Tax Authorities). However, this does not exempt the Path Sharer from his or her own personal reporting duties.

Tax compliance resources:

For French Residents: In accordance with French regulations, all Path Sharers are encouraged to consult www.urssaf.fr regarding social security contributions and www.impots.gouv.fr regarding income tax obligations.

For Residents of other EU member states: all Path Sharers are advised to consult their local tax authorities or the European Commission’s official portal for information on national and cross-border tax rules.

18. Sanctions

Violation of these Terms or any applicable law may result in one or more measures at the sole discretion of FlintOne, depending on the severity of the breach, including but not limited to the removal of content or the closure of a User account.

FlintOne also reserves the right to:

Cancel Pending Bookings: Cancel any pending Bookings or ongoing Sessions associated with the sanctioned Account.

Refund Path Seekers: Initiate a Refund to the affected Path Seeker if a Booking or Session is cancelled or terminated as a result of a violation by the Path Sharer.

Suspend or deduct Payouts: Suspend or deduct any pending Payouts in the Path Sharer’s Stripe Connect account if the violation involves fraud, unlawful activities, or if FlintOne needs to offset damages, pending charges, or potential Refunds to other Users.

In the event of conduct that may constitute a criminal offense under applicable law, FlintOne may also file a report or complaint with the relevant authorities.

FlintOne also reserves the right to suspend or close the account of any User who frequently submits manifestly unfounded Reports or repeatedly misuses any of the Platform’s reporting mechanisms (including but not limited to Reports, Session Completion Issues or Disputes).

The User will be notified by email of any sanction taken against them as soon as reasonably possible.

In the event FlintOne suspends, deactivates, or closes a User account or a Path Sharer Profile, it will provide the affected User with a notice stating the reasons for such action. The User shall have the right to appeal the decision raising a Dispute within seven (7) days of receiving the Platform’s notification (see Section 21 Dispute Resolution) via the Help Center. If no Dispute is initiated within this period, the decision shall be considered final, binding and the case closed.

19. Fight Against Fraud

19.1 Fraudulent Users and Behaviors

FlintOne actively fights against fraudulent or misleading Sessions and malicious Users.

All Path Sharer Profiles are reviewed by FlintOne before activation to mitigate fake identities or deceptive listings.

If a User notices any unusual or suspicious content display or other Users’ behavior at any time on the Platform, they are strongly encouraged to submit a Report (see Section 20.2 Reports) via the Help Center.

Any confirmed fraudulent or deceptive behavior will result in sanctions as described in Section 18 Sanctions and may lead to legal action.

19.2 Fraudulent Transactions

All Payments on the Platform are processed securely by Stripe.

To protect the integrity of the Platform, FlintOne may flag and review transactions that appear irregular or potentially fraudulent prior to Payout, for example, those involving abnormal booking patterns.

Transactions flagged for review do not imply wrongdoing, Payouts may be temporarily suspended while verification is conducted, as detailed in Section 14.2 Suspended Payout.

Confirmed fraud or other unlawful activity will be subject to the measures outlined in Section 18 Sanctions.

20. Feedback and Reports

20.1 Feedback

The User may submit Feedback regarding the Platform’s functionality or performance via the Help Center. FlintOne will review such comments to assess potential improvements, taking into account technical feasibility and operational costs. While FlintOne values all input, it is under no obligation to implement suggested changes. A response to Feedback will generally be provided within fourteen (14) days.

20.2 Reports

The User may submit a Report via the Help Center providing necessary details, such as the the reported User’s name. Additionally, the User may report a Path Sharer directly from the Path Sharer’s public page, this action will automatically generate a formal Report for FlintOne 's review.

Upon receiving a Report, FlintOne will conduct an investigation, during which both the reporting and reported Users shall cooperate and provide relevant information, including written communications or other verifiable evidence. The Platform does not record or monitor live Sessions and therefore cannot directly verify spoken interactions. Investigation findings will be based on available evidence, including metadata, written logs, and prior performance indicators (e.g., Session Reviews).

Depending on the findings, FlintOne may take measures ranging from no action to sanctions (see Section 18 Sanctions).

Reports determined to be made in bad faith or for the purpose of harassment may result in sanctions (see Section 18 Sanctions) against the reporting User.

FlintOne aims to conclude investigations, provide a reasoned answer and close the Report within thirty (30) days.

If the User disagrees with FlintOne’s decision, he or she may initiate a Dispute within seven (7) days of receiving FlintOne’s answer (see Section 21 Dispute Resolution) via the Help Center. If no Dispute is initiated within this period, the decision shall be considered final, binding and the case closed, and the User expressly agrees not to pursue additional Refunds or chargebacks through external payment channels for the same matter.

21. Dispute Resolution

21.1 Dispute Receivability

A Dispute will only be treated if it arises from:

the User’s disagreement with FlintOne’s handling of a Session Completion Issue (see Section 10.5 Post Session), and is submitted via the Help Center within seven (7) days following FlintOne’s notification;

the User’s disagreement with a FlintOne’s sanction (see Section 18 Sanctions), and is submitted via the Help Center within seven (7) days following FlintOne’s notification;

the User’s disagreement with FlintOne’s resolution of a Report (see Section 20.2 Reports), and is submitted via the Help Center within seven (7) days following FlintOne’s notification;

This Section 21 applies exclusively to the three categories listed above. Any other inquiries or general complaints do not constitute a "Dispute" under these Terms.

21.2 Amicable Resolution

In the event of a Dispute, the User and FlintOne shall first attempt to reach an amicable settlement within thirty (30) days.

As described in Section 21.1 Dispute Receivability, the User must submit a Dispute via the Help Center within the defined timeframe before seeking any external remedy. Any attempt to initiate external mediation, arbitration, or legal proceedings without first completing this internal Dispute process and allowing FlintOne a period of thirty (30) days to respond shall be considered a material breach of these Terms. In such cases, FlintOne reserves the right to request the immediate stay or dismissal of any such external action and to seek recovery of any legal costs and fees incurred by FlintOne due to this premature filing.

21.3 Mediation

In accordance with the provisions of Articles L 611-1 and R 612-1 et seq. of the French Consumer Code concerning the amicable resolution of disputes: Where a private User has submitted a written complaint to FlintOne and has not received a satisfactory response or any response within a period of two (2) months, they may submit their complaint free of charge to the consumer mediator. The mediator must be contacted within a maximum period of one (1) year from the date of the initial complaint. 21.4 Jurisdiction

If mediation fails or if any party rejects the mediator's proposal, the Dispute may then be brought before the competent courts, which are determined by applicable consumer law.

If the User is a professional (including notably sole proprietors or single-person companies), in the event of a dispute and failing an amicable settlement within the thirty (30) day period set forth in Section 21.2 Amicable Resolution, the dispute shall be submitted to the exclusive jurisdiction of the courts of Paris (France).

22. Limitation of Liability

22.1 Nature of the Service

The Platform operates solely as a technological intermediary to facilitate Bookings and Sessions between Path Seekers and Path Sharers. While the Platform does not monitor, record, or control the content, tone, or specific interactions within any Session, it does collect and monitor objective Session metadata (such as Session duration and connection timestamps). FlintOne does not act as an employer, tax agent, or social security representative for any User.

22.2 Scope of Responsibility

FlintOne’s responsibility is strictly limited to maintaining the technical functionality, accessibility, and infrastructure security of the Platform.

22.3 Content and Outcomes

The Platform is a venue for informal experience sharing only. FlintOne does not verify, endorse or guarantee the accuracy of any advice shared. Consequently, FlintOne shall not be held liable for:

The content, quality, suitability, or accuracy of any information, advice or materials shared during a Session, for which the Path Sharer remains solely and independently responsible;

Decisions made or actions taken by a Path Seeker based on information provided by a Path Sharer;

Any professional, personal or emotional outcomes of any interaction;

Any breach of professional codes of conduct, employment contracts or non-compete clauses by the Path Sharer.

22.4 Tax and Regulatory Compliance

FlintOne shall not be held liable for any misrepresentation of a User's identification, legal or professional status (e.g. private individual, sole proprietor, single-person company), or tax-related information, nor for any resulting penalties or obligations imposed by authorities.

FlintOne shall not be held liable for any tax, professional or legal consequences arising from inaccurate or incomplete information provided by the User.

FlintOne assumes no responsibility for any failure by the User to comply with his or her own tax, social security, or accounting obligations.

22.5 Financial and Data Constraints

The Platform does not store or directly process the Path Seeker’s payment information. FlintOne shall not be liable for Payout delays, freezing of funds, or account restrictions resulting from a Path Sharer’s failure to provide information or documentation requested by Stripe.

Furthermore, FlintOne shall not be held liable for any delay, failure, blockage, additional fees, or incident of any kind related to the processing or transfer of funds (including Payouts), insofar as such events are attributable to Stripe, a banking institution, a payment service provider, a transfer network, or any other cause beyond the control of FlintOne.

For compliance purposes, FlintOne may disclose User data if strictly required by governmental or tax authorities.

22.6 Liability Cap

To the maximum extent permitted by applicable law, FlintOne’s total liability towards any User for any claim arising out of or related to a Session or the use of the Platform shall be strictly limited to the amount actually paid by the Path Seeker for the specific Booking giving rise to the claim. In no event shall FlintOne be liable for any indirect, incidental, special or consequential damages, including but not limited to, loss of profits, loss of opportunity, or emotional distress.

22.7 Third-Party Services Liability

FlintOne shall not be held liable for any failure, interruption, delay, error or damage of any kind caused by Third-Party Service Providers, including but not limited to Stripe, hosting providers, identity verification providers, or any other third party engaged in connection with the operation of the Platform.

23. Intellectual Property and Content Ownership

23.1 Platform Content

“beamthru” is a trademark duly licensed to and/or owned by FlintOne.

The names, logos, or brands of third-party tools, services or companies mentioned on the Platform remain the property of their respective owners.

Any unauthorized reproduction, distribution or exploitation of all or part of the Platform’s content, design, or intellectual property shall constitute an infringement and may result in legal action before the competent authorities. All rights not expressly granted are reserved by FlintOne.

23.2 User-Generated Content

By submitting any content to the Platform, the User grants FlintOne a non-exclusive, worldwide, royalty-free license to host, store, reproduce and use such content solely for the operation, maintenance and improvement of the Platform.

In addition, FlintOne may use publicly visible information, such as any Path Sharer’s public pages, Session Reviews, and anonymized statistical data (e.g., number of Sessions completed), for promotional, informational or community purposes related to the Platform, including on the Platform, newsletters or official social media channels.

FlintOne will request prior explicit consent before using any additional personal details or featuring the User in direct marketing materials (such as interviews or success stories).

The User remains the sole owner of his or her content and may request the removal or exclusion of his or her content from the Platform’s promotional materials at any time via the Help Center.

This license does not apply to the content of video or audio Sessions. FlintOne does not access, record, store or monitor any content exchanged during Sessions.

23.3 Session Recordings and Confidentiality

The Platform does not provide or support any built-in functionality for recording audio or video Sessions. If the User chooses to record a Session using external tools (subject to the strict requirements set forth in Section 16 User Obligations), the User does so entirely at his or her own discretion and is solely responsible for ensuring full compliance with applicable legal and ethical obligations, including obtaining the prior and explicit consent of all participants. FlintOne disclaims all responsibility for any such recordings, their storage, or their subsequent use, and will not be liable for any Disputes, damages or privacy violations arising therefrom.

24. Personal Data & Privacy

FlintOne acts as the data controller for the processing of the User’s personal data in accordance with the EU General Data Protection Regulation (GDPR).

The collection, use and protection of personal data are described in detail in the Platform’s Privacy Policy. By using the Platform, the User and the Visitor acknowledge that their personal data will be processed in accordance with that Policy.

To exercise data protection rights, the User or the Visitor may contact FlintOne via the Help Center.

25. DAC7 Reporting Obligations (applicable to Path Sharers only)

25.1 Scope of the Obligations

Under Council Directive (EU) 2021/514 (“DAC7”) and Articles 1649 ter A to 1649 ter E of the French Tax Code, FlintOne is legally required to collect, verify and report specific information relating to Path Sharers who receive any earnings for Sessions facilitated by the Platform (“Reportable Sellers”).

Given that Payment is transferred to the Path Sharer’s Stripe account upon Booking, FlintOne requires all Path Sharers to provide the information set out in Section 25.2 Mandatory Information to be Provided by the Path Sharer at the time of onboarding (see Section 7.1 Path Sharer Onboarding). This ensures that FlintOne is able to fulfil its due diligence and reporting obligations from the moment any earnings are received by the Path Sharer.

25.2 Mandatory Information to be Provided by the Path Sharer

The Path Sharer must provide the following complete and accurate information:

As a natural person (including private individual and sole proprietor):

identity information (full name, date of birth, primary address);

tax identification number(s) and country(ies) of issuance;

place of birth (where no tax identification number is applicable);

VAT number (if applicable);

any documents required to verify these elements upon request;

any updates to these fields.

As a single-person company:

company legal name;

company registration address;

company registration number;

VAT number (if applicable);

any documents required to verify these elements upon request;

any updates to these fields.

Providing this information is a statutory obligation and a condition for using the Platform as a Path Sharer.

25.3 Due Diligence and Verification

In accordance with Article 1649 ter D, FlintOne must verify the reliability of the Path Sharer’s information using available documents and records.

FlintOne may request supporting documents, including but not limited to:

official identity documents

proof of tax residence

proof of address

The Path Sharer must respond promptly and provide accurate information.

25.4 Consequences of Missing or Incomplete Information

In case of missing or incomplete information, or upon request from authorities to correct information or to provide support documents for verification purpose, FlintOne will send two requests to the Path Sharer.

If the information remains missing or incomplete after these two requests, FlintOne is legally required, after a minimum period of 60 days following the second request, to:

close the Path Sharer’s account, and;

prevent the Path Sharer from re-registering, unless sufficient guarantees of compliance are provided.

FlintOne may also restrict the Path Sharer’s ability to receive further Bookings or Payouts until the information is provided.

Following account closure, the then Path Sharer may be allowed to re-register on the Platform only after providing satisfactory evidence of his or her commitment to supply all DAC7-required information and supporting documents.

25.5 Annual Reporting to Tax Authorities

FlintOne’s reporting obligations apply only to Path Sharers who have received earnings during the relevant calendar year.

FlintOne is legally required to report annually to the French tax authority, no later than 31 January of the year following the calendar year in which activities have been performed by Path Sharers through the Platform :

his or her identity or company and tax information mentioned in Section 25.2 Mandatory Information to be Provided by the Path Sharer;

his or her tax residence country(ies) based on information provided in accordance with Section 25.2 Mandatory Information to be Provided by the Path Sharer;

his or her total earnings received per quarter;

his or her number of Sessions performed per quarter;

the Platform’s Commissions, fees or taxes withheld per quarter related to his or her Sessions;

the identification of the bank account used to receive the earnings (when available to the Platform).

The French tax authority may transmit this information to other EU member states.

The Path Sharer acknowledges and expressly agrees that the data transmitted to the competent tax authority may be shared with the tax authorities of other EU member states or of any country that has concluded an agreement with the reporting member state enabling the automatic exchange of DAC7 information.

A copy of the reported information is made available to the Path Sharer no later than 31 January each year. The Path Sharer must review his or her Annual Summary and notify FlintOne of any inaccuracies within thirty (30) days of receipt. Any correction requests submitted after this period will be processed by FlintOne on a best-effort basis, and the User may be held liable for any administrative fees or penalties imposed on the Platform due to such late notification.

25.6 Accuracy of Information

The Path Sharer is solely responsible for ensuring that:

all information provided is complete, accurate, and up to date;

necessary documents are supplied without delay;

all tax obligations applicable to his or her activities are duly fulfilled.

25.7 No Waiver

These obligations derive from EU and French tax law. They cannot be waived, modified, or contractually overridden by FlintOne or the Path Sharer.

26. Applicable Law

These Terms are governed by and construed in accordance with the laws of France.

However, if the User is a consumer residing in another member state of the European Union, he or she may also benefit from the mandatory consumer protection provisions of his or her country of residence, in accordance with Article 6(2) of Regulation (EC) No 593/2008 (“Rome I”).

27. Third-Party Services

Certain features of the Platform, including, but not limited to, Payment processing and video or audio meeting functionalities may be provided, supported, or facilitated by Third-Party Service Providers integrated into the Platform.

By using these features, the User acknowledges and agrees that:

Third-Party Terms Apply:

The use of such services is governed by the terms and conditions and privacy policies of the respective third-party providers. It is the User’s responsibility to review and comply with those third-party terms where applicable. The list and purpose of third-party integrations are available in the Platform’s Privacy Policy.

Service Dependency:

Certain core functionalities of the Platform may be inaccessible, limited or degraded if the User does not accept or is unable to use the third-party services required to support those functionalities.

Service Substitution:

FlintOne reserves the right to change, replace or modify Third-Party Service Providers at its sole discretion and without prior notice, provided that the overall functionality of the Platform remains materially unaffected.

28. Notifications and Communication

28.1 Account and Usage Notifications

The Platform sends essential notifications by email and through the Platform interface to ensure the User is informed of important account activity, such as:

new Booking requests;

rescheduling requests for existing Bookings;

upcoming Session reminders;

FlintOne’s response to Feedback or Reports submitted by the User;

sanction notices;

other updates necessary for the operation and use of the Platform.

These mandatory notifications cannot be disabled, as they are necessary for the proper operation and use of the Platform.

Marketing or optional communications (such as newsletters or promotional messages) are sent only with the User’s consent and may be unsubscribed at any time.

28.2 Amendments and Policy Updates

FlintOne will notify the User of any material changes to the Platform, including updates to these Terms, the Privacy Policy, or other key operational policies.

Changes that specifically affect the Path Sharer, such as Commission Policy updates will also be communicated in the same manner.

FlintOne will provide such notice at least thirty (30) days in advance, unless changes are required immediately for legal, regulatory, or security reasons, using one or more of the following channels:

In-platform notification;

Email.

The User is deemed to have received notice once the announcement is sent or made available through any of these channels.

29. Modification of the Terms of Service

FlintOne reserves the right to modify these Terms of Service.

Any updates will be communicated in accordance with the notice provisions set out in Section 28 Notifications and Communication.

Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

30. Severability

If any provision of these Terms is held invalid or unenforceable by a competent authority, such provision shall be replaced by a valid provision reflecting the original intent as closely as possible, and the remaining provisions shall remain in full force and effect.

31. Miscellaneous Provisions

The failure or delay of FlintOne to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision, nor shall any single or partial exercise of such right preclude any further exercise thereof.

FlintOne may assign or transfer its rights and obligations under these Terms to a third party or affiliate in the event of a merger, acquisition, or sale of assets, without prior notice to the User.

32. Language

These Terms may be provided to the User in several languages. However, in the event of any contradiction or dispute regarding the meaning of a term or provision, the French version shall prevail.

33. Contact

User Support: The User may contact FlintOne at: support@beamthru.com. However, to ensure the security and traceability of exchanges, the User is required to prioritize the use of the Help Center. FlintOne reserves the right to redirect any inquiries sent directly to its general email address back to the Help Center. Inquiries submitted via the Help Center will benefit from prioritized processing times compared to those sent via the general email above.

For Authorities only: In accordance with Article 11 of the EU Digital Services Act (DSA), FlintOne has designated the following email address as its single point of contact for direct communication with member states’ authorities, the European Commission, and the European Board for Digital Services: contact@beamthru.com.
